Offtake Contracts: How Lithium Is Sold Before It's Even Extracted

Before the first gram of carbonate leaves the plant, much of the output already has a buyer. Here's how the agreements that underpin financing and bring order to the lithium market actually work.

What an offtake contract is and why it exists

An offtake contract is a forward sale agreement in which a producer commits to deliver a set volume of lithium —usually carbonate or hydroxide— over an agreed term, and a buyer commits to purchasing it. The distinctive feature is that these contracts are typically signed years before the project reaches production, often while the plant is still under construction or even in an advanced feasibility stage.

The logic is straightforward: lithium projects, especially brine operations, require investments ranging from hundreds of millions to over a billion dollars and take several years to mature. No developer wants to reach the production stage without certainty that there will be a buyer for the material. The offtake resolves that uncertainty by securing demand before taking on construction risk.

The bridge to financing

For banks and funds, a mining project without committed sales is a hard bet to finance. An offtake contract signed with a solvent counterparty —an automaker, a battery manufacturer or a trader— acts as a guarantee of future revenue flow. That backing improves credit terms, lowers the cost of capital and, in many cases, is a precondition for debt financing to be approved.

In some structures the buyer goes further and provides capital directly: prepayments, equity investment or loans that are later offset against product deliveries. These modalities, known as prepayment or streaming, allow the producer to access funds without excessively diluting its equity stake, in exchange for committing part of its output at preferential prices or terms.

How pricing is structured

Price is the heart of the negotiation and can take several forms. Contracts may set a fixed value per tonne, tie it to a market reference index —with specialized publications reporting spot prices for carbonate and hydroxide— or combine both with floors and ceilings that cap volatility. Given lithium's historic swings, moving from lows to peaks and back in just a few years, neither party wants to end up on the wrong side of a cycle.

Index-referenced pricing mechanisms have become predominant because they distribute risk: the producer captures the upside and the buyer is protected from overpaying at peaks. Price bands, in turn, seek a balance that provides predictability to project cash flows without entirely giving up market exposure.

Volume, term and product quality

Beyond price, the offtake defines key operational parameters. Volume is usually expressed as a percentage of projected annual output —it is common to commit between 30% and 70% of capacity, leaving a remainder for spot sales— and terms run from five to ten years or more, aligned with the investment's repayment horizon.

Quality is equally decisive. The material must meet strict technical specifications: minimum purity (typically battery grade, with carbonate at 99.5% or higher), impurity limits and lot-to-lot consistency. Contracts include rejection clauses, penalties for spec breaches and sampling protocols, because a cathode factory cannot operate with inputs that vary outside range.

Risks and points of tension in the negotiation

Offtakes are not free of friction. Take-or-pay clauses, which require the buyer to pay even if it does not collect the material, protect the producer but toughen the negotiation. On the other side, buyers push for volume expansion options, rights of first refusal and supply continuity guarantees. Force majeure events, ramp-up delays and regulatory changes are also carefully addressed.

There is also an underlying strategic tension: automakers and battery manufacturers seek traceability and long-term access in a market they perceive as structurally tight, while producers try not to commit their entire output at prices that could end up below market in a future upswing. The result is a delicate balance between security and flexibility.

The Argentine case: the Puna and the appeal of its brines

Argentina, the world's fifth-largest lithium producer, holds a distinctive asset in the Puna region of Jujuy, Salta and Catamarca: low-operating-cost brines that remain competitive against other geographies. That cost profile, combined with an investment incentive framework such as the RIGI in force since 2024, reinforces international buyers' interest in signing offtakes with Argentine projects, even at early development stages.

For Puna projects, a solid offtake with a top-tier counterparty not only unlocks construction financing but also validates the project before the market and eases the arrival of capital. Amid an expansion of the country's installed capacity, these agreements will be a central piece in converting geological resources into effective production and into integration with the global electromobility supply chains.
